These Terms & Conditions (“Terms”) govern the use of the website, services, and any agreements entered into with Walkout Tech Private Limited, an Indian private limited company (“Walkout”, “we”, “us”, “our”). By accessing our website, making a payment, or engaging our services, you (“Client”, “you”, “your”) agree to be bound by these Terms.
1. Nature of Services
Walkout Tech Private Limited provides customised, bespoke digital services, including but not limited to:
- Website design and development
- Branding and creative services
- UI/UX design
- Technical consulting and support
- Hosting, security, and maintenance services (where applicable)
All services are tailor-made based on client requirements and are not pre-packaged or off-the-shelf products.
2. Engagement & Project Scope
- Services are delivered based on the scope defined in the proposal, onboarding documents, or written communication.
- Any request outside the agreed scope will be considered scope creep and may require a separate quotation and agreement.
- Timelines provided are estimated only and may vary depending on client responsiveness and complexity.
3. Payments & Billing
- A minimum 50% advance payment is required to initiate any project unless otherwise agreed in writing.
- Remaining balances must be paid as per the agreed milestone or timeline.
- All payments must be cleared before project delivery, launch, or handover.
- Prices are exclusive of applicable taxes unless stated otherwise.
4. Refund & Cancellation
Refunds and cancellations are governed by our Refund & Cancellation Policy, available on our website.
In summary:
- Payments are non-refundable once work has commenced.
- Bespoke services, onboarding, designs, prototypes, development work, hosting, domains, and third-party services are non-refundable.
- Any approved refunds (in exceptional cases) are processed via bank transfer only.
5. Client Responsibilities
The client agrees to:
- Provide accurate and complete information required for the project
- Respond to feedback requests in a timely manner
- Ensure that all content, images, and materials provided do not violate any laws or third-party rights
Delays caused by the client may impact timelines and resource availability.
6. Intellectual Property Rights
- Upon full payment, all final approved work created specifically for the client becomes the client’s intellectual property unless otherwise agreed.
- Walkout retains the right to showcase completed work in portfolios, case studies, and marketing materials unless restricted in writing.
- Third-party tools, plugins, fonts, or licenses remain subject to their respective owners’ terms.
7. Third-Party Services
Walkout may integrate or rely on third-party services (e.g., hosting providers, payment gateways, plugins, APIs).
- Walkout is not responsible for outages, failures, inaccuracies, or changes made by third-party providers.
- Any third-party fees are borne by the client unless stated otherwise.
8. Limitation of Liability
To the maximum extent permitted under Indian law:
- Walkout Tech Private Limited shall not be liable for any indirect, incidental, consequential, or economic losses.
- Our total liability, if any, shall not exceed the total fees paid by the client for the specific service giving rise to the claim.
- We do not guarantee specific business outcomes, rankings, sales, or revenue results.
9. Lawful Use
Clients must not use our services for:
- Any unlawful, fraudulent, or misleading activities
- Content that is obscene, defamatory, infringing, or violates intellectual property rights
- Spam, phishing, or bulk unsolicited communications
Walkout reserves the right to suspend or terminate services for violations.
10. Termination
Walkout may suspend or terminate services if:
- Payments remain unpaid beyond agreed timelines
- The client breaches these Terms
- The service is misused or used unlawfully
Outstanding balances remain payable even after termination.
11. Force Majeure
Walkout shall not be held liable for delays or failures caused by events beyond reasonable control, including but not limited to natural disasters, government actions, internet outages, or third-party service failures.
12. Governing Law & Jurisdiction
These Terms are governed by and construed in accordance with the laws of India.
Any disputes shall be subject to the exclusive jurisdiction of the courts where Walkout Tech Private Limited is registered.
